Scope of Work & Project Kickoff
Project Scope: The scope of work, deliverables, timeline, and fee structure for each project are defined in the accepted project quote or proposal. Any request outside the agreed scope will be quoted separately.
Deposit Requirement: A 50% non-refundable deposit is required prior to the commencement of any creative work, research, or scoping. Project timelines begin upon receipt of the cleared deposit and all required client assets (e.g., brand guidelines, copy, vector logos).
Payment Terms & Invoicing
Payment Schedule: Final invoices are issued upon completion of project deliverables. Full payment is strictly due within 30 days of final product delivery.
Late Payments: Payments not received within the 30-day window may incur late interest fees or a suspension of ongoing services and support until the account balance is settled.
Cancellation & Kill Fees: If a project is cancelled by the client at any point after work has commenced, the initial 50% deposit will be retained to cover initial project scoping, research, and creative time. The client will also be billed for any additional completed work or hours incurred beyond the initial deposit value up to the date of cancellation notice.
Revisions, Amendments & Scope Creep
Included Revisions: Unless otherwise specified in writing, the total project fee includes up to three (3) rounds of major revisions applied to the initially presented design concepts.
Additional Revisions: Revisions requested beyond the included three rounds, or feedback that contradicts previously approved direction, will be billed at standard hourly rates.
Post-Sign-off Amendments: Any changes or amendments requested after final design sign-off or after full payment has been remitted will be categorized as a new project. These additions will be quoted and invoiced as a separate body of work.
Deliverables & Intellectual Property
Final Deliverables: Client fees cover final, exported production deliverables only (e.g., flattened PDFs, exported PNGs, SVGs, JPEGs, or print-ready files as specified in the project agreement).
Working & Native Files: Native open files, raw working assets, vector master files, unflattened layered documents (e.g., .ai, .psd), and custom tool sets remain the exclusive intellectual property of the designer.
Source File Release: Working files are not included in standard project rates. Release of native source assets is available upon request and subject to a separate source file buyout fee (typically ranging from 50% to 200% of the project total, dependent on licensing scope).
Font & Stock Asset Licensing: Software, desktop fonts, third-party brushes, and stock imagery remain subject to their original end-user license agreements (EULAs). The designer cannot legally transfer font files or third-party software licenses to the client.
Usage & Portfolio Rights
Ownership Transfer: Upon receipt of final payment in full, the client receives exclusive usage rights to the final exported deliverables for the agreed-upon application.
Portfolio & Self-Promotion: The designer retains the right to display, showcase, and feature all completed design work, illustrations, and process materials across digital portfolios, social media, websites, case studies, and promotional entries.
Non-Disclosure Agreements (NDAs): Portfolio rights apply unless an explicit NDA or confidentiality agreement is signed prior to project kickoff.
Client Responsibilities & Project Delays
Feedback Timelines: Timely project delivery relies on prompt client feedback. If feedback or assets are delayed by more than 14 business days without prior notice, the project schedule will be adjusted, and the project may be paused or rescheduled based on current studio availability.
Content Accuracy: The client is responsible for proofreading all text, details, and specifications before approving final files for print, production, or digital publication. The designer is not liable for errors in client-provided copy or post-sign-off production errors.
